Ethical Practice

At impro studio, we reflect on our professional behaviour as part of taking responsibility for our actions, inactions, and the consequences thereof in the world. Our vision is based on our interpretation of the ecology of life, where our actions and those of our clients/participants are connected to other fields of relationships. Seeing people in all of their creativity, vulnerability, and their stories brings with it the responsibility to learn to respond in the moment.

 

impro studio does not provide therapy, emergency or on-call services. impro studio does not guarantee, promise, or take responsibility for a cure, fix/solving of problems, healing, or attainment of a specific result through participating in its activities. impro studio only takes responsibility for how its activities are conducted. By participating in impro studio's activities, you agree to take responsibility for your own actions. Engaging with impro studio can never take the place of regulated psychological and/or medical care and the people working at impro studio will never give you medical advice.

Representation and Warranties

You represent and warrant that (a) all of the information provided by you to impro studio and/or improstudio.org to participate in the activities and/or website is correct and current; and (b) you have all necessary right, power and authority to enter into this Agreement and to perform the acts required of you hereunder.

All original content and graphics of impro studio and improstudio.org are subject to copyright and may not be reproduced in any form without express written consent of the author. You may not modify, publish, transmit, participate in the transfer or sale of, create derivative works from, distribute, display, reproduce or perform, or in any way exploit in any format whatsoever any of the impro studio and improstudio.org content, in whole or in part without our prior written consent. Fair Use

Online and Offline Events

General

  • We reserve the right to change the host/trainer/facilitator of any of our events at any point in time.

​

Refunds

  • All impro studio event bookings are non-refundable.

​

Transfers

If you are unable to make your event due to illness or other unforseen circumstances, we will offer to transfer your credit to another session/course. This credit is valid for a period of 6 months for impro studio sessions only.

​

To transfer your credit to another event, please contact us with the subject line 'TRANSFER' and add the following details:

  • Your full name

  • Your Booking Email Address

  • Name of Event/Course Originally Booked

  • Name of Event/Course to be Transferred To

  • Any Other Details

​

Bookings may be transferred from one participant to another before the commencement of training, after first notifying us at least 48 hours before training begins. The new participant must have the necessary prerequisites for the training.

​

To transfer your spot to someone else, please contact us with the subject line 'TRANSFER' and add the following details:

  • Your full name

  • Your Booking Email Address

  • Name of Event/Course Originally Booked

  • Full Name Of Your Replacement

  • Email Address of your Replacement

  • Any Other Details

 

We will write back to confirm your credit transfer to a different event or a participant. Please wait for us to send this confirmation.

Cancellations

If we have to cancel a scheduled impro studio event for any reason, we will offer you a choice of either a replacement event of the same value or a full refund. In the event of a cancellation, you will receive an email with us with further instructions.

Online and Offline 1-2-1 Sessions

​

​

1-2-1 Agreement

All coachees/mentees are required to complete and sign an impro studio coaching/mentoring agreement designed to ensure that coaches/mentors and coachees/mentees develop a mutual understanding of expectations from the beginning of their relationship.

  • This is a professional relationship (not a legal business partnership) between the Coach/Mentor and the Client in a thought-provoking and creative process that inspires the client.

  • It is designed to facilitate the creation/development of personal or professional skills through practicing improvisation techniques.

  • 1-2-1 agreements will usually be made with a series of coaching or mentoring sessions in mind.

  • Although the thoughtful completion of this form is a requirement, it is understood that items will change and adjust naturally to fit the needs of both parties as the relationship grows.

  • If at any time during the duration of the contract one of the pair does not feel or believe that they themselves or the other are able or willing to fulfill the items agreed in the contract, their may discontinue the relationship at any time.

Scheduling, Rates & Payments

  • The scheduling of the meetings and location will be determined by both parties based on a mutually agreed upon time and place.

  • The first conversation will be used to agree on a modality, reasonable time, period, and fee.

    • Our first conversation is always free and non-binding.

  • The calculated cost of sessions depends on a few factors

    • Time duration of the session(s)

    • Number of participants: 1 or more than 1

    • Personal circumstances

    • If a client wishes to pay more than our suggested rate, we will gladly accept a higher rate in order to "pay it forward" to others in need.

  • Rates may be adjusted when we see a need to do so.

    • Adjustments in prices will be announced and discussed beforehand with enough time for clients to make the decision to continue or stop the agreement.

    • Existing agreements will be honoured.

Invoices & Receipts

  • All clients of individual sessions will be sent an invoice after their session.

  • All clients of a series of sessions will be sent an invoice for the whole series after their first session.

  • Invoices are to be paid within 14 days of the date of the invoice.

  • Should a client fail to pay an invoice in time, impro studio may charge interest as late fees.

​

Cancellations

  • Cancellations must be done via e-mail or telephone.

    • All cancellations will be confirmed via e-mail.

    • Cancellations which occur 24h or longer before the session takes place will not be charged.

    • Cancellations which occur within 24h of the session will be charged in full.

  • Clients may discontinue the 1-2-1 relationship at any time.

for organisations

T&C For organisations engaging our services

Online and In-house Events for Organisations

Scheduling

All dates and times of meetings, sessions and events will be agreed upon in writing and scheduled by calendar invitation.

​

Rescheduling

Should a meeting, session or event need to be rescheduled, the Client shall inform impro studio

Compensation

Except as otherwise provided in a separate Agreement, all monetary amounts referred to are in Euro €.

​

For the services rendered by impro studio as required by mutual Agreement, the Client will provide compensation of an agreed fee to impro studio. Compensation fees will be quoted twice, once excluding and once including all applicable taxes as required by Dutch law. The Compensation will be payable, while this Agreement is in force, according to mutually agreed payment terms.

​

A non-refundable deposit of may be payable by the Client to impro studio before any work will begin.

​

Reimbursement of Expenses

impro studio will be reimbursed from time to time for all reasonable and necessary expenses incurred by impro studio in connection with providing the contracted Services. impro studio will furnish vouchers to the Client for all such expenses.

​

Invoices & Receipts

Confidentiality and privacy

Confidential information refers to any data or information relating to the business of the Client which would reasonably be considered to be proprietary to the Client including, but not limited to, accounting records, business processes, and client records and that is not generally known in the industry of the Client and where the release of that Confidential Information could reasonably be expected to cause harm to the Client

T&C Indemnity

By participating in impro studio's activities, you agree to take responsibility for your own actions.

​

impro studio is not responsible for any damage to you or your belongings resulting from attending impro studio's activities. This includes parking your vehicle, travelling to, entering the premises, or using the facilities provided.

 

You agree to hold harmless and indemnify improstudio.org, and authors from and against any third party claim arising from or in any way related to your use of the website, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys’ fees, of every kind and nature. In such a case, improstudio.org will provide you with written notice of such claim, suit or action.

Except as expressly provided in this Agreement, the impro studio makes no guarantees, representations or warranties of any kind or nature, express or implied with respect to the coaching services negotiated, agreed upon and rendered. In no event shall the Coach be liable to the Client for any indirect, consequential or special damages. Notwithstanding any damages that the Client may incur, the Coach’s entire liability under this Agreement, and the Client’s exclusive remedy, shall be limited to the amount actually paid by the Client to the Coach under this Agreement for all coaching services rendered through and including the termination date.
